These are the Terms and Conditions (T&Cs) on which we sell vehicle parts, other goods and services (Goods) to you. These Terms and Conditions do not apply to the sale of any vehicles.

Please read these T&Cs carefully before you submit your order to us.

The T&Cs detail how we respond to your orders in providing Goods to you, how you and we may change or end the contract arising from your order, what to do if there is a problem and other important information.

You may have different rights depending on whether are buying goods as a private individual for your private use, or as a business or for use in connection with a business.

These T&Cs apply to the contract between you and us to the absolute exclusion of any other terms that you seek to impose or incorporate into any order you place, whether stated or implied

1. About the website online shop (Online Shop) and the rights we reserve:

The online shop is only available in the English Language.

It is owned and operated by the Armstrong Siddeley Owners Club Limited, (ASOC). Registered office: Unit 1 Pentre Industrial Estate, Pentre, Shrewsbury, Shropshire, SY4 1BP, UK. company number 1139966. Vat registration number: 187 2657 25. Phone number: +447542685591.

We reserve the right to Modifying or withdrawing, temporarily or permanently, the website (or any part of it) with or without notice and in using this website you confirm that we shall not be liable to you or any third party for any modification to or withdrawal of the website or be liable to you or any third party for any compensation so arising from this or any other matter outside our control..

We reserve the right to use your personal information to inform you of changes to our website, events and offers. We shall not pass on any information obtained through this website to third party organisations.

2. Contacting us:

You can contact using the details above, by post, email, text message or phone. You should not use other messaging services outside of these, or other websites for matters relating to ordering goods.

3. Business Customers

For the avoidance of doubt, to be a Business as defined under these T&Cs and Conditions, UK customers must be registered at Companies House or otherwise demonstrably be Complying with finance regulations – such as tax, payroll, HMRC, accounting, record keeping, Companies House and anti-money laundering regulations. Employment law and workers' rights. Health and safety for workers and visitors to your offices/site. General Data Protection Regulation (GDPR). Similar demonstration of business standards may be requested from overseas companies. Outside of this, the terms of business set out in these T&Cs will be those attributed to private, domestic customers referred to as Consumers within these T&Cs.
By placing an order with us as a Business you are confirming that you have the authority to obligate the Business on whose behalf you are acting.
These T&Cs constitutes the entire agreement between you and us and supersede and extinguish all and any other agreements, written or verbal, and any other warranties or understandings between us. In placing an order with us you acknowledge that you do not rely on any other means or information outside of these T&Cs.
You and we agree that neither of us shall have any claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this contract or in any description of goods given including but not exclusively verbal or on any ASOC website.
You and we agree that it is your responsibility alone to ensure Goods re-sold by you to any third party are fit for the purpose for which you supply them. And you agree to maintain appropriate, up-to-date and accurate records to enable the immediate recall of any Goods or batches of Goods from the retail or wholesale markets, and to provide us with any assistance we require to recall Goods with as much urgency as we may ask of.


4. Individual Customers / none business customers
You must be at least 18 years of age to purchase Goods from us. By placing an order via the Online Shop you are confirming that you are at least 18 years of age.


5. Ordering Goods on the Online Shop

Orders placed using the Online Shop are done by placing items in the shop basket and then proceeding to checkout and payment. The Online Shop will estimate the P&P charges. Payment is by a valid card only, and must be made before any order is accepted and processed. Placing of such an order in this way does not constitute a contract with us or guarantee supply.

Once we have received an order we will review this and verify availability of the Goods and the P&P costs. You will receive an email confirming acceptance or otherwise of your order. It is at this point we enter into a contract with you.

If we are unable to accept all or part of your order we will explain why.

All orders will be given an order number.

You will receive a further email when Goods are dispatched.

ASOC reserve the right to cancel any order, or part of an order, and give the appropriate full refund.

6. Quotations

If you contact us for a quotation and / or availability any price quoted by us is only valid for 30 days. Any quotation is not a guarantee of an offer of Goods and is subject to the above ordering process. Once an order is accepted by you, then you agree to enter into a contract with us to supply the goods.

7. Cancellation of Orders and Return of Goods

Subject to your legislative rights and for Goods excluding services and event bookings:

Orders may be cancelled by you up to dispatch and a full refund will be given by us.

After dispatch Goods must be returned by you at your expense prior to any refund being given. Refunds will be for the value of the Goods but not the P&P and always providing the goods are returned unused and in at least the same condition as supplied.

Faulty items returned will be fully refunded including the original P*&P in line with your statutory rights.

Return of Goods from cancelled orders will not be accepted after 60 days from the date of dispatch and no refund will be offered.

For services and event bookings you should refer to the Online Shop listing for the item for details of any refund and / or cancellation policy.

8. Quality and Specification of items

ASOC carry a huge range of stock. Some is newly remanufactured, some reconditioned, some new stock made by third parties. In addition many individual Goods are ‘new old’ stock made by third parties, or ‘new old’ ex-AS factory stock and some stock is second-hand.

Whilst on the Online Shop we endeavour to show the best pictures we have available, pictures are for illustrative purposes only to help identify items. All listings are coded as follows:
NEW: New / recent stock
REM. Remanufactured stock
REC: Reconditioned stock.
ONS: Old new stock - may be 10 years old or just over.
NOS: Unused - but over 10 years old.
ASM: Ex Armstrong Siddeley factory stock - minimum of 50 years old.
SH or S/H Second-hand stock.

Due to age the condition of some ONS, NOS and ASM stock will be such as to require refurbishment by you the purchaser. Typically this may be an original unused part that is capable of use after work, but has suffered the effect of over 60 years in less than perfect storage. It may have rust or other defects. Upon receipt of the Goods you must satisfy yourself of its suitability for use and no warranty or guarantee of its suitability for use is given by us.

SH or SH stock may or may not be suitable for use and is sold without warranty of any kind of its suitability for use. You are advised to take all steps to determine if such Goods meet your needs. Free exchange of such Goods, if available, are offered by visiting our premise at Unit 1 Pentre Industrial Estate, or a guaranteed refund of the purchase price less any P&P upon receipt of the Goods at our premises.

NEW, REM, ONS stock is as close to original specification as can be achieved, unless otherwise stated, and intended for use in its original way as determined by Armstrong Siddeley Motors on their vehicles.

If you are unsure of the quality, specification, nature or condition of any item you are ordering you must contact us first for clarification.

9. Delivery of Goods

The Online Shop estimates the cost of delivering the Goods to you (P&P) When your order is received this will be reviewed by us.

The Online Shop’s estimating of P&P has limitations. Multiple Goods or geographic locations may not be given accurate P&P costs by the Online Shop

We reserve the right to vary the P&P before entering into a contract with you by confirming your order by email. We will advise of any variation in such an email and invite you to accept this or not as you see fit.

If you are concerned about the P&P costs arising out of an order for multiple goods or concern about delivery costs to your part of the world, then you are invited to contact us directly for advice. For certain larger items we are not always able to arrange shipping overseas.

We will always endeavour to dispatch goods as soon as we are able, but this will vary by workload upon us.

It may not be possible for us to arrange dispatch to some overseas countries. If this is the case we will contact you and invite you to arranger your own courier. We reserve the right to cancel any order for which we cannot reasonably arrange delivery.

By agreement with us, you may arrange for Collection of Goods by a carrier of your choice on an agreed date and during normal business hours. If we agree your carrier is to collect the Goods from us and you fail to do so we may cancel your order and the contract between us.

If you fail to supply any information we reasonably need to dispatch goods to you in a reasonable time, then we may cancel your order and the contract between us.

The Goods will be your responsibility from the time they arrive with you or your courier collects them from us. If we supply Goods on your behalf to a third party then they are your responsibility once they arrive with the third party.

If goods we have dispatched using P&P of our choice arrive in a damaged condition you must contact us within 48 hours of their arrival to advise of this.

We only dispatch Goods upon receipt of payment. If your payment in anyway is not made then we will advise you of this and reserve the right to cancel your order and the contract between us.

You may cancel your order any time up to dispatch and we will fully refund any monies you have paid.

10. Pricing

Items are offered for sale to all interested in buying.
Prices are set at full normal retail price in UK pounds sterling excluding P&P and vat tax (where appropriate), which are added at checkout.

Fully paid up members of the Armstrong Siddeley Owners Club Ltd. are eligible for a 20% Membership Discount. To receive this, members must use their Voucher Code at checkout where the discount will be applied. The Voucher Code is composed of the member’s membership number and surname name, as it appears on the Sphinx magazine postal address label. New members will receive their discount codes in their welcome pack. If in doubt, or if you believe a discount due is not applied at checkout, contact Stores on email stores@siddeley.org or by phone +44(0)7542 685591‬ to verify your code before payment is made.

Membership discount codes should not be shared with non-members. Any sales where it is found a voucher code has been used to obtain a discount by deception will be cancelled and the member warned against sharing their discount code.

Orders you place online and you paid for without discount cannot subsequently be given the Membership Discount.

Despite our best efforts, some Goods we sell may be incorrectly priced. We will normally check pricing before we accept your order and advise you of any correction. If the price is less we will refund you the difference, if it is more we will ask if you wish us to process your order at the correct price.

If we process your order with an incorrect price we reserve the right to cancel the contract. This, for example, may occur where multiple customers require the same Goods and insufficient stock is available at the price quoted to meet the accepted orders.

If we accept and process your order where a pricing error is obvious and unmistakeable and you could reasonably have recognised this, we may cancel the contract between us and refund you any sums you have paid and require the return of any Goods provided to you.

11. Exchange Items and Surcharges.

In order to provide customers with the best value and greatest availability of parts, some items are sold on an exchange basis. All items offered by way of exchange carry a refundable Surcharge*. Items offered in exchange must be complete, in reasonable condition and fit for reconditioning. They must be received by us at our premises detailed above within 45 days of your order being dispatched. After this time no refund will be given. It is the customer’s responsibility to pay any costs they incur in returning items against those sold on an exchange basis.

*Items in the opinion of the club and / or their suppliers deemed not fit for refurbishment will not attract any refund. It is within our sole discretion to determine if a part is acceptable as an exchange item.

12. Postage and Packing (P&P)

Estimated P&P is automatically added to any order that is not to be collected from our premises. The P&P recognises the country orders are to be sent to. If a charge seems incorrect you are invited to contact Stores via the above details. Stores may also contact you if the P&P proves too little and invite you to accept a further invoice for payment of the additional costs prior to dispatch, or, under our right to cancel any order (see 1 above) ASOC will cancel your order. Orders can be specified to be collected in person or by the customer’s own carrier, where no P&P will be charged. ASOC Stores are open at our registered address Mondays and Wednesdays 1.pm to 4pm and 10am to 4pm Tuesdays (except public holidays). Other times may be available by request.

13. Overseas Buyers and Taxation, eg VAT

VAT will be chargeable on the full value of orders for UK residents only. Overseas buyers will not be charged any VAT. We do not accept any liable for any import duty imposed by the buyer’s own country of destination, or any disturbance to delivery that may result from this. If you are not receiving our Goods in the UK as a UK resident you should check any such liability yourself.

14a. Warranty to individual non-business customers - Consumers

Unless otherwise stated in the Online Shop listing parts listed as:
NEW: New / recent stock
REM. Remanufactured stock
REC: Reconditioned stock.

All such items, unless specifically stated as otherwise in the Online Shop listing, are sold as new and genuine Armstrong Siddeley parts or as close a modern day usable equivalent as we can find using best endeavours. They are sold for the original manufacturer’s intended purpose and if used as such carry a 12 months warranty as being free from material defects.

This Warranty Will Not Apply:
If the Goods have been used for other than the intended purpose or have been fitted incorrectly.
If the Goods have been subject to abuse, third party damage, inadequate storage, inadequate maintenance or have been dismantled.
If you modify the part in any way.

Where the Goods are a service or event booking this warranty will not apply and you should refer to the Online Shop listing for warranty and refund details.

It is in our sole discretion in determining whether this warranty will not apply due to your actions as stated under ‘This Warranty Will Not Apply’.

To claim under this warranty, you must explain to us why you are seeking to claim under this warranty and agree with us whether we need the Goods returned to us or can accept other evidence, such as photographs. If we request the Goods be returned, then you must return them to no later than 7 days after our request and give us reasonable opportunity to examine the returned Goods.

Where we supply replacement Goods free of charge ahead of receiving the return of the item of Goods for which you are claiming a warranty, we must receive the returned warranty claim Goods within 14 days of dispatch of the replacement Goods, or you will fall liable for the cost of the replacement Goods including their P&P.

It is in our sole discretion in honouring this warranty whether we will repair or replace the defective Goods, or refund the price of the defective Goods in full.

14b. Warranty to individual non-business customers – consumers cont.

Unless otherwise stated in the Online Shop listing parts listed as:
ONS: Old new stock - may be 10 years old or just over.
NOS: Unused - but over 10 years old.
ASM: Ex Armstrong Siddeley factory stock - minimum of 50 years old.
SH or S/H Second-hand stock

Unless otherwise stated in the Online Shop listing, stock so labelled in the Online Shop is sold without warranty as being fit for use in the condition it is supplied.

It may show signs of deterioration due to age, or in the case of second-hand stock, age and use. Notwithstanding the terms under 7 above, you may return such stock to our premises and receive a full refund of the purchase price (less any P&P) or exchange an item for another similar item at our premises within 3 months of dispatch or collection of your original order.

15 Our Liability to individual non-business customers – Consumers

Unless you are a UK based business registered at Companies House or other overseas registered business, we only supply Goods to you for domestic and private use. You agree not to use the Goods for any commercial, business or resale purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

If in supplying Goods we fail to comply with these T&Cs we are responsible for actual loss or damage you suffer that arises from a foreseeable result of our breach of these T&Cs or our negligence, but we are not responsible for any loss or damage that is not actual and foreseeable. A foreseeable loss or damage arise if it is an obvious consequence of our breach of these T&Cs or if it was contemplated by you and us at the time we entered into this contract.

Notwithstanding anything in these T&Cs, we do not in any way exclude or limit our liability for:
a) death or personal injury caused by our negligence;
b) fraud or fraudulent misrepresentation;
c) defective products under the Consumer Protection Act 1987; or
d) any matter in respect of which it would be unlawful for us to exclude or restrict our liability.

16. Our warranty and liability if you are a registered business

If you are a Business the same terms as listed in 13a and 13b will apply save as to:

Nothing in these T&Cs limits or excludes our liability to the extent that would be unlawful in any relevant jurisdiction nor for:

a) death or personal injury caused by our negligence;
b) fraud or fraudulent misrepresentation;
c) breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); or
d) defective products under the Consumer Protection Act 1987.

Subject to the above in section 16:

We will not be liable for:
a) any incorrect information or data we supply on which you rely
b) any indirect or consequential loss of actual or anticipated profits, sales, business, revenue or opportunity, savings or goodwill how so for ever arising from our actions;
c) any other indirect or consequential loss, including but not exclusively, any loss or corruption of data, information or software

Subject to 15 above, in any eventuality our liability to you whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the value of the Goods as paid to us by you.

Except as expressly stated in these T&Cs, we do not give any representation, warranties or undertakings in relation to the Goods. Any representation, condition or warranty which might be implied or incorporated into these T&Cs by statute, common law or otherwise is excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that the Goods are suitable for your purposes.

17. Use of your personal information

Notwithstanding the GDPR policy of ASOC with respect to its members, which will continue to apply to all members of ASOC whether they purchase Goods from ASOC or not, we will use the personal information you supply in using the Online Shop to:
a) Provide Goods to you
b) To process payments for Goods and
c) if you agree to this during the ordering process, to advise you of Goods and offers we think may be of interest to you.
We will not pass your personal information to any third parties.

18. Force majeure – Events Outside of Our Control

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these T&Cs or any contract between us that is caused by an Event Outside Our Control.
An Event Outside of Our Control is defined as:
a) Any act or event beyond our reasonable control, including without limitation strikes, failure of our third party suppliers, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.

When an Events Outside of Our Control arises, we will:
a) As soon reasonably possible notify all those affected with whom we are currently contracted to supply Goods
b) Suspend our obligations under any contract
c) Extend the time for performance of our obligations for the duration of the Event Outside of Our Control.
d) Use reasonable endeavours to limit the disturbance to you.

You may cancel a contract affected by an Event Outside of Our Control which has continued for more than 28 days. To cancel please contact us. If you opt to cancel, you will have to return (at our cost) any relevant Goods you have already received and we will refund the price you have paid, including any delivery charges.

19. Other important information

These T&Cs are governed by English Law. Nothing in these T&Cs are intended to disallow your statutory rights, which will always take precedence.

Each paragraph of these T&Cs operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

These T&Cs are not time limited in our rights and your obligations to us. For example if we fail to bill you for Goods your obligation to pay remains if we bill you any period of time later.

We reserve the right to assign our rights and obligations under these T&Cs to another organisation. We will tell you in writing if this happens.

You may only transfer your rights or your obligations under these T&Cs to another person if we agree to this in writing.

These T&Cs provide for and refer to a contract between you and us. No other person shall have any rights to enforce any of its terms.
